This document governs access to the HdyoN website, the purchase of products sold under the HdyoN brand, and related services made available by Annelies Brown AG.
These General Terms and Conditions (the “Terms”) govern access to and use of the HdyoN website, the purchase of products sold under the HdyoN brand, and any related services made available by Annelies Brown AG, Via Vallemaggia 81, 6600 Locarno, Switzerland (“HdyoN”, “we”, “us”, or “our”).
By accessing our website, creating an account, placing an order, purchasing a subscription, or otherwise using our services, you agree to be bound by these Terms.
1. Scope
These Terms apply to:
• use of the HdyoN website and related digital interfaces;
• purchases of HdyoN products, including without limitation pipes, filled cartridges, refillable cartridges, accessories, starter kits, bundles, limited editions, and related items (“Products”);
• subscription purchases and recurring delivery arrangements, where offered;
• support, maintenance, repair, cleaning, replacement parts, and other post-sale services, where offered; and
• business-to-business purchases and other professional orders, unless superseded by a separate written agreement.
Any different or additional terms proposed by the customer shall not apply unless expressly accepted by HdyoN in writing.
2. Binding Language
These Terms are issued in English. The English version is the legally binding version, unless HdyoN expressly states otherwise in writing.
3. Eligibility and Age Requirements
You may only purchase or receive Products if:
• you have legal capacity to enter into binding contracts under applicable law; and
• you are at least 18 years old, or such higher minimum legal age as may apply in your country, state, province, or other jurisdiction of residence, delivery, purchase, possession, or use.
By placing an order, you represent and warrant that you satisfy these requirements.
HdyoN may request age or identity verification before accepting, processing, or delivering any order. HdyoN may refuse, suspend, cancel, or limit any order where age, identity, legal eligibility, destination compliance, or fraud concerns cannot be satisfactorily resolved.
4. Territory and Order Acceptance
HdyoN does not undertake to sell or deliver Products in every country or territory.
Orders are accepted only where HdyoN confirms that shipment, sale, import, delivery, and use of the relevant Products can be supported in the relevant destination. Availability of checkout, shipping options, or website access does not by itself constitute a binding commitment to accept any order.
HdyoN reserves the right, at its sole discretion, to reject or cancel any order, including where:
• legal, regulatory, customs, tax, licensing, or carrier restrictions apply;
• the customer does not meet age or eligibility requirements;
• the Products are unavailable;
• the order appears abnormal, commercial in scale, fraudulent, or non-compliant;
• payment cannot be authorized or verified; or
• a manifest error in product description, pricing, or availability has occurred.
The customer is solely responsible for ensuring that ordering, importing, receiving, possessing, and using the Products is lawful in the destination jurisdiction.
5. Product Positioning and Permitted Use
HdyoN Products are offered as premium tasting accessories and related consumable systems designed for beverage tasting rituals.
Products must be used only:
• in accordance with the instructions, care guidance, safety notices, and product specifications provided by HdyoN;
• for lawful purposes only; and
• only with contents, liquids, accessories, cartridges, or components that are compatible and permitted by HdyoN.
Products must not be used with illegal, prohibited, unsafe, or non-compatible substances or materials. Any misuse, modification, tampering, resale in prohibited channels, or use contrary to instructions may void warranty coverage and may result in refusal of service or support.
6. Product Information, Images, and Availability
HdyoN seeks to describe Products as accurately as reasonably possible. However:
• product images are illustrative and may differ from the delivered Product in non-material respects, including due to display settings, natural material variation, or packaging updates;
• handcrafted, wood-based, metal-finished, or limited-edition Products may display natural or minor aesthetic variations that do not constitute defects;
• certain collections, finishes, materials, bundles, limited editions, or accessories may change over time; and
• all Products are subject to availability.
Statements on the website regarding availability, launch timing, shipping windows, subscription timing, or expected replenishment are indicative only, unless expressly confirmed by HdyoN in writing as binding.
7. Orders and Contract Formation
Product listings on the website constitute invitations to place an order and do not constitute binding offers by HdyoN.
A contract is formed only when HdyoN expressly accepts your order. Acceptance may occur by:
• a written order confirmation;
• a shipping confirmation; or
• actual dispatch of the Product.
An automatically generated order acknowledgment merely confirms receipt of the order request and does not constitute acceptance.
HdyoN may, before acceptance, request additional information, identity verification, age verification, payment verification, or clarification regarding the order.
8. Prices, Taxes, Duties, and Charges
Unless otherwise stated, prices shown on the website are in the currency displayed at checkout and are exclusive or inclusive of taxes only as specifically indicated.
The customer is responsible for:
• all applicable taxes, duties, levies, import charges, customs clearance costs, banking fees, and other governmental or third-party charges, unless expressly stated otherwise at checkout; and
• any shipping, handling, insurance, subscription, restocking, repair, cleaning, replacement, storage, or failed-delivery charges disclosed during the order process or in applicable policies.
HdyoN may change prices at any time before order acceptance. The price valid at the time of accepted checkout shall apply to that order, subject to manifest error.
HdyoN may cancel an order affected by a manifest pricing or specification error. In such case, any amount already paid for the cancelled item will be refunded without further liability.
9. Payment
HdyoN may offer one or more payment methods at checkout. HdyoN may use third-party payment providers and fraud-screening providers.
By submitting payment information, you represent and warrant that:
• you are authorized to use the selected payment method; and
• the billing and account information you provide is complete and accurate.
Payment must be received in full before dispatch, unless HdyoN expressly offers invoicing or another deferred payment method.
If a payment is reversed, rejected, charged back, disputed, or otherwise not validly settled, HdyoN may suspend performance, cancel the order, recover costs, and pursue any remedies available under applicable law.
10. Subscriptions and Recurring Purchases
Where HdyoN offers subscription purchases or recurring delivery arrangements, the following apply unless expressly stated otherwise in a dedicated subscription plan:
• Subscription model. Customers may be offered the choice between one-time purchase and recurring subscription.
• Auto-renewal. By purchasing a subscription, the customer authorizes recurring charges at the selected frequency until cancellation.
• Billing. Each recurring charge will be processed using the payment method on file on or around the renewal date.
• Changes. HdyoN may change subscription pricing, Product contents, packaging, delivery cadence, or plan structure upon prior notice. Continued use after the effective date constitutes acceptance of the updated subscription terms.
• Cancellation. A subscription may be cancelled through the account area, customer support, or other method designated by HdyoN. Cancellation takes effect for the next billing cycle that has not yet been processed.
• Failed payments. HdyoN may retry failed payments, pause subscription performance, or cancel the subscription if payment cannot be successfully completed.
• Availability. Subscription fulfillment remains subject to legal eligibility, territory support, stock, and operational feasibility.
Any specific subscription terms displayed at checkout or in the subscription interface shall supplement these Terms.
11. Delivery, Transfer of Risk, and Title
Delivery dates and timelines are estimates only unless expressly agreed otherwise in writing.
HdyoN may make partial deliveries where reasonable.
Risk of loss or damage passes to the customer upon delivery to the delivery address, or upon handover to the customer, recipient, or carrier as applicable under the selected delivery method and mandatory law.
Title to the Products shall remain with HdyoN until full payment of all amounts due in connection with the relevant order has been received.
If a delivery cannot be completed because of customer error, refusal, absence, incorrect address details, customs non-clearance, or other causes not attributable to HdyoN, HdyoN may:
• re-charge shipping, storage, handling, or return costs;
• suspend or cancel the order; and/or
• deduct resulting losses, fees, duties, or charges from any refund otherwise due.
12. Customer Inspection and Reporting Duty
The customer must inspect the Products promptly upon delivery.
Any visible transport damage, shortage, wrong item, or apparent non-conformity must be reported to HdyoN in writing without undue delay and, in any event, no later than five (5) calendar days after delivery, together with supporting photos and relevant details.
Failure to inspect and report within this period does not waive mandatory statutory rights but may affect the customer’s ability to prove the issue and may entitle HdyoN to reject claims relating to damage, shortage, or non-conformity that should reasonably have been identified upon delivery.
13. Returns of Non-Defective Products
HdyoN may accept returns of non-defective Products only as stated on the website, at checkout, in product-specific notices, or in any separately published Return Policy, and always subject to any mandatory consumer law.
Unless a stricter or different rule is stated on the website, at checkout, in product-specific notices, in any separately published Return Policy, or required by law:
• return requests must be submitted within the applicable return window communicated on the website, at checkout, on the relevant product page, or in any separately published Return Policy;
• non-defective Products must be unused, complete, and returned in their original packaging with all accessories, documentation, protective elements, and any complimentary items included;
• HdyoN may refuse returns of Products that are used, incomplete, damaged, altered, unsealed where hygiene or product integrity matters, or otherwise unsuitable for resale;
• HdyoN may deduct a reasonable restocking fee, return shipping cost, payment processing cost not recoverable by HdyoN, and any loss in value caused by handling beyond what is necessary to inspect the Product, to the extent permitted by law.
For the avoidance of doubt, Products sold as limited edition, special order, personalized, final sale, or otherwise expressly non-returnable are not returnable except where required by mandatory law.
14. Special Rules for Cartridges, Consumables, and Sealed Items
Filled cartridges, refillable cartridge sets, consumable components, hygiene-sensitive items, and other sealed Products may only be returned if:
• they are unopened, unused, and factory sealed;
• the seal and packaging integrity remain intact; and
• return is otherwise permitted by the website rules, the relevant product page, any separately published Return Policy, and applicable law.
No return will be accepted for any such Product that has been opened, unsealed, used, partially consumed, contaminated, altered, or stored improperly, except where the Product is defective and mandatory law requires a remedy.
15. Order Cancellation Before Dispatch
A customer may request cancellation before dispatch. However, HdyoN is not obliged to accept cancellation requests once order processing has begun.
If HdyoN accepts a pre-dispatch cancellation of an order involving reserved stock, special packaging, allocated subscription inventory, limited editions, or other operational handling, HdyoN may charge a reasonable cancellation or handling fee where disclosed and permitted by law.
16. Warranty
16.1 Standard Limited Warranty
HdyoN warrants that the durable core Product purchased from HdyoN, such as the pipe and other durable hardware components expressly designated by HdyoN, will be free from material defects in workmanship and materials for two (2) years from the date of delivery, unless a different mandatory period applies.
This warranty applies only to defects arising under normal, intended, and compliant use.
16.2 Exclusions
• filled cartridges, refillable cartridge consumables, liquids, or other consumable items, except to the extent they are defective upon delivery;
• ordinary wear and tear;
• aesthetic changes or natural variation in wood, grain, color, finish, patina, or handcrafted details;
• damage resulting from misuse, accident, impact, neglect, improper storage, poor hygiene, contamination, improper cleaning, unauthorized repair, incompatible substances, or use contrary to instructions;
• damage resulting from modifications, disassembly, tampering, or use of non-approved parts or accessories;
• Products purchased from unauthorized sellers; or
• any condition disclosed before purchase.
16.3 Warranty Remedies
• repair the Product;
• replace the defective Product or component with the same or a functionally equivalent item;
• provide replacement parts;
• provide store credit; or
• refund the price paid for the defective Product, taking into account prior use where legally permitted.
The choice of remedy belongs to HdyoN unless mandatory law provides otherwise.
16.4 Warranty Claim Procedure
To make a warranty claim, the customer must contact HdyoN promptly, provide proof of purchase, describe the issue accurately, and follow HdyoN’s instructions regarding return, inspection, shipping, photos, or testing.
Where inspection shows that no warranty-covered defect exists, HdyoN may charge the customer for diagnostic, return shipping, handling, cleaning, or testing costs, provided such charges were disclosed or are reasonable in the circumstances.
17. Repairs, Cleaning, Replacement Parts, and Post-Warranty Services
HdyoN may, at its discretion, offer paid services outside warranty, including without limitation:
• product inspection;
• cleaning and maintenance;
• replacement of broken or worn parts;
• reassembly;
• post-warranty repair; and
• return shipment after service.
Any such service is subject to availability, feasibility, pricing, service scope, and acceptance by HdyoN.
Unless otherwise expressly agreed in writing:
• all non-warranty service charges are borne by the customer;
• service quotations may be time-limited and non-binding until confirmed;
• estimated timelines are indicative only; and
• replaced parts may be retained by HdyoN unless otherwise agreed.
HdyoN may decline repair or service where a Product has been materially altered, contaminated, damaged beyond reasonable serviceability, or used in a manner contrary to instructions or law.
18. Accounts and Security
Where account creation is available, the customer is responsible for maintaining the confidentiality of account credentials and for all activity occurring through the account.
The customer must promptly notify HdyoN of any unauthorized use, suspected compromise, or security incident relating to the account.
HdyoN may suspend or terminate accounts where fraud, misuse, legal non-compliance, or breach of these Terms is suspected.
19. Intellectual Property
All intellectual property rights in and to the website, brand assets, product names, designs, texts, graphics, photographs, videos, software, product concepts, documentation, and other materials provided by HdyoN remain the exclusive property of HdyoN or its licensors.
No purchase of a Product transfers any intellectual property right except the limited right to use the purchased Product for its intended purpose.
The customer shall not copy, reverse engineer, decompile, modify, distribute, commercially exploit, or create derivative works from HdyoN materials except to the extent permitted by mandatory law.
20. Privacy
HdyoN processes personal data in accordance with its Privacy Policy, which also addresses cookie-related disclosures where applicable.
By using the website or placing an order, you acknowledge that personal data may be processed as described in the Privacy Policy.
21. Limitation of Liability
To the fullest extent permitted by applicable law:
• HdyoN shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profit, loss of revenue, loss of opportunity, loss of goodwill, loss of data, or business interruption.
• HdyoN shall not be liable for losses arising from misuse of Products, non-compliant import, export, resale, possession, or use, failure to follow instructions, care guidance, or storage requirements, use with incompatible liquids, parts, cartridges, or accessories, unauthorized modification, repair, or tampering, delays, customs actions, third-party carrier failures, or force majeure events, or website downtime, cyber incidents, or technical interruptions not caused by gross negligence or wilful misconduct.
• HdyoN’s aggregate liability in connection with any order or claim shall not exceed the amount actually paid by the customer for the specific Product or service giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law, including liability for wilful misconduct, gross negligence where non-excludable, death, personal injury, or fraud where applicable.
22. Customer Responsibility and Indemnity
The customer is responsible for compliance with all laws applicable to the order, receipt, import, possession, resale, and use of the Products.
For business customers, distributors, commercial partners, or professional purchasers, the customer shall indemnify and hold harmless HdyoN from third-party claims, losses, liabilities, costs, and expenses arising out of:
• unlawful resale or distribution;
• non-compliant marketing or local regulatory violations;
• improper storage or handling after delivery;
• modification or repackaging of Products; or
• breach of these Terms or applicable law.
23. Force Majeure
HdyoN shall not be liable for any delay, failure, or impossibility of performance caused by events beyond its reasonable control, including acts of God, fire, flood, epidemic, pandemic, strike, war, terrorism, cyberattack, customs restrictions, power failures, supply shortages, transport disruption, governmental measures, or unavailability of materials or carriers.
In such circumstances, HdyoN may suspend performance, extend timelines, allocate limited stock, or cancel affected orders without liability beyond refund of amounts already paid for undelivered Products.
24. Business Customers
Where the customer acts in the course of trade, business, or profession:
• any statutory consumer withdrawal or cooling-off rights shall not apply unless mandatory law expressly provides otherwise;
• returns of non-defective Products are accepted only if expressly agreed by HdyoN in writing;
• delivery dates are indicative unless expressly guaranteed in writing;
• set-off, withholding, and counterclaims are excluded to the extent permitted by law; and
• HdyoN may require separate commercial terms, minimum order quantities, lead times, deposit arrangements, or written agreements for professional or distribution orders.
25. Amendments to These Terms
HdyoN may update these Terms from time to time.
The version published on the website at the time of the relevant order shall apply to that order, unless a change is required by law or expressly accepted by the customer.
For subscriptions, account-based services, or ongoing relationships, HdyoN may update these Terms upon notice. Continued use after the effective date of the updated Terms constitutes acceptance, to the extent permitted by law.
26. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced, where possible, by a valid provision that most closely reflects the original commercial intent.
27. No Waiver
Failure by HdyoN to enforce any provision of these Terms shall not constitute a waiver of any right or remedy.
28. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or in connection with them, the website, any order, or any Product shall be governed by substantive Swiss law, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction shall be the courts having jurisdiction at the registered seat of Annelies Brown AG, unless mandatory consumer protection law provides otherwise.
